In jurisdictions where limitation of liability for consequential or incidental damages is not permitted, SYTOP's liability shall be limited to the fullest extent permitted by applicable law. In no event shall SYTOP's aggregate liability to you for any claim arising from your use of this Site exceed the amount actually paid by you to SYTOP in the twelve (12) months preceding the claim, or USD 500, whichever is greater.

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or validity thereof, shall be resolved through the following process:

1. STEP 1 Negotiation: The parties shall first attempt to resolve the dispute through good-faith negotiation within thirty (30) days of written notice of the dispute.
2. STEP 2 Mediation: If negotiation fails, the parties may seek mediation through a mutually agreed mediator before pursuing formal legal proceedings.
3. STEP 3 Litigation: If mediation is unsuccessful, disputes shall be submitted to the competent People's Court in Shenyang, Liaoning Province, China, which shall have exclusive jurisdiction.

For international commercial contracts, the parties may agree in writing to submit disputes to arbitration under the rules of the China International Economic and Trade Arbitration Commission (CIETAC), with arbitration seated in Beijing, China.

SYTOP reserves the right to modify, update, or replace these Terms at any time at its sole discretion. Changes will be effective immediately upon posting to this Site with an updated "Last Updated" date.

It is your responsibility to review these Terms periodically. Your continued use of this Site following the posting of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must immediately discontinue use of this Site.
